On this day, 4 February, 2019, ZMB Capital Sp. z o.o. ("ZMB"), a major Polish traditional producer of mineral water, and Kofola ČeskoSlovensko a.s. signed an agreement to transfer a 100% stake in Hoop Polska Sp. z o.o. ("HOOP"). The purchase price of not less than EUR 13,000,000 shall be reduced by a receivable of Kofola ČeskoSlovensko a.s. from a loan to HOOP and Kofola Group´s receivables from HOOP, which are more than 180 days past due and will be paid to the creditors on behalf of HOOP by the acquirer.

ZMB will take over the entire business, including the Kutno production plant, trademarks for key brands, employees, and distribution networks. The transaction does not include the closed production plant in Grodzisk Wielkopolski and the Grodziska Mineral Water trademarks.

To complete the transaction, several conditions on both sides still need to be met, and approval from the antitrust authority is required.

Kofola ČeskoSlovensko a.s. will remain in the Polish market through Premium Rosa Sp. z o.o.
