Kofola is about to acquire a minority stake of a craft-beers and speciality-coffees business across three countries in Latin America

On 23 January 2026, Kofola ČeskoSlovensko a.s., Mr. Berny Silberwasser and company Lager N’ Ale S. de R.L. entered into the Share purchase agreement under which shares of the Alta Fermentacion S. de R.L., a Panama company, ID no. 155777301 (the "Company"), which represent 39% of the capital of the Company shall be sold to Kofola. Kofola shall increase its share in the Company in an amount of 10% of the capital of the Company, for a total of 49%, in exchange for committed capital contribution (the “Transaction”).

The Company operates five companies across three countries in Latin America (The PUB S.A.S. in Colombia, Cervecería La Rana Dorada S. de R.L. in Panamá, Colo Coffee S.A.S. in Colombia, Cerveceria Sinners S.A.S. in Ecuador and Pedro Mandinga in Panamá) engaged in the craft beers, speciality coffees, alcoholic and non-alcoholic fermented drinks segment.

The completion of the Transaction is subject to several conditions precedent and is expected to be completed by the end of the first half of 2026.

The parties shall also conclude the Shareholders' Agreement regarding the management and conduct of the affairs of the Company and regarding their rights and obligations. Kofola shall also have an option to acquire a majority stake in the Company.

All parties have agreed not to disclose the price of the transaction.

It is expected that the Company will achieve revenues exceeding USD 20 million in 2025, with EBITDA exceeding USD 4 million.
